Terms of Service

These Terms govern your access to and use of Shortlist. By creating an account or using Shortlist, you agree to these Terms.

1. Who we are

Shortlist is a software service that helps you create ranking-style short-form videos (the “Service”). In these Terms, “we”, “us” and “our” refer to the operator of Shortlist, and “you” refers to the individual or entity using the Service.

2. Eligibility & accounts

You must be at least 13 years old (or the minimum age of digital consent in your country, if higher) to use the Service. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.

Authentication and account management may be provided by a third- party identity provider (currently Clerk). You are responsible for keeping your login credentials secure and for all activity that occurs under your account.

You agree to provide accurate account information and keep it up to date. We may suspend or terminate accounts that are used in a way that violates these Terms or creates risk to the Service or others.

3. Plans, billing, cancellations & refunds

Shortlist may offer a free plan and one or more paid subscription plans. Paid subscriptions are billed via our payment processor (currently Stripe) on a recurring basis until cancelled.

By starting a paid subscription, you authorize us and our payment processor to charge the applicable fees, taxes and any other charges associated with your plan to your selected payment method on a recurring basis.

Changes & cancellations. You can upgrade, downgrade or cancel through in-app billing or the Stripe Customer Portal (where available), or by contacting us at mojeltd14@gmail.com. Unless otherwise stated at checkout or required by law, cancellations take effect at the end of your current billing period.

Refunds. Except where required by law or explicitly stated at checkout, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused usage allowances, or downgrades.

We may change prices or plan features from time to time. If you are on a paid plan, we will try to give reasonable notice of material changes that affect your subscription.

4. Your content & license to us

In the course of using the Service, you may upload or otherwise provide videos, audio, images, text, prompts, metadata and other materials (collectively, “Your Content”). You retain all rights in Your Content, subject to the licenses you grant in these Terms.

You grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, process, adapt, modify, create derivative works from, and display Your Content solely to:

  • provide, operate, maintain and improve the Service;
  • generate outputs and exports for you (including processing via third-party infrastructure such as storage, rendering, text-to- speech and transcription providers);
  • secure, troubleshoot and support the Service; and
  • comply with law, or enforce these Terms, where reasonably necessary.

You are responsible for ensuring you have all necessary rights and permissions to upload and use Your Content with the Service, including any intellectual property, publicity and privacy rights of third parties.

5. Generated outputs & AI features

The Service may generate scripts, voiceovers, captions and videos (collectively, “Generated Content”) using AI models and media-processing pipelines.

Subject to your compliance with these Terms and applicable law, we grant you a non-exclusive, worldwide license to download, use, reproduce, display, and distribute Generated Content for personal or commercial purposes.

You are responsible for Generated Content. You are solely responsible for how you use Generated Content, including ensuring it is accurate, suitable, and compliant with platform policies (for example TikTok, YouTube, Instagram) and any applicable laws (including advertising disclosures and intellectual property rules).

No professional advice. Generated Content is provided for informational/creative purposes and should not be relied upon as legal, medical, financial, or other professional advice.

6. Acceptable use

You agree that you will not, and will not permit others to:

  • use the Service in any way that is unlawful, harmful, or infringes the rights of others;
  • upload, share, or generate content that is illegal, abusive, threatening, harassing, defamatory, obscene, hateful, or that promotes self-harm or violence;
  • upload content that you do not have the right to use, or that violates privacy/publicity rights, copyright, or other IP rights;
  • attempt to reverse engineer, decompile or otherwise derive source code from the Service, except as permitted by law;
  • interfere with or disrupt the integrity or performance of the Service (including overloading, attacking or probing our systems);
  • circumvent, disable, or otherwise interfere with security or usage limits (for example, automating account creation or bypassing export limits); or
  • use the Service to build, train, or improve competing models or services using the Service, except with our prior written permission.

We may remove content, restrict features, or suspend accounts if we reasonably believe there is a violation of these Terms or a risk to the Service or others.

7. Our intellectual property

The Service (including its software, design, text, graphics, and trademarks) is owned by us or our licensors and is protected by applicable intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in and to the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract source code, except where such restrictions are prohibited by law.

8. Feedback

If you provide suggestions, ideas, or feedback about the Service (“Feedback”), you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate the Feedback into the Service without compensation to you.

9. Service availability & changes

We aim to keep the Service reliable, but outages and limitations may occur. We may modify, suspend or discontinue all or part of the Service at any time, including the features available on free or paid plans.

Where reasonably possible, we will try to provide advance notice of material changes that negatively impact paid subscribers, but we do not guarantee uninterrupted availability.

10. Termination

You may stop using the Service at any time. You may request account deletion through in-app settings (if available) or by contacting us at mojeltd14@gmail.com. Our Privacy Policy describes what happens to your data when you delete your account.

We may suspend or terminate your access to the Service if we reasonably believe you have breached these Terms, are using the Service in a way that creates risk or harm to us or others, or if we are required to do so by law.

11. Disclaimers

The Service and all content (including Generated Content) are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

We do not guarantee that any content you create will achieve any particular performance (for example, views, engagement, or revenue) or comply with the policies of third-party platforms.

If you are a consumer in a jurisdiction that provides non-waivable statutory rights (for example, certain UK/EU consumer rights), those rights are not affected by these Terms.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenues, data or goodwill, arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law (for example, for fraud or fraudulent misrepresentation).

13. Indemnity

If you use the Service on behalf of a business or for commercial purposes, you agree to indemnify and hold us harmless from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content; (b) your use of the Service; or (c) your violation of these Terms or applicable law.

14. Governing law & disputes

These Terms and any dispute or claim arising out of or in connection with them or the Service will be governed by the laws of United Kingdom, without regard to conflict-of-laws principles. You and we agree to submit to the exclusive jurisdiction of the courts located in London to resolve any dispute arising from these Terms or the Service.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, where appropriate, provide additional notice (for example, by email or in-app notification). If you continue using the Service after updated Terms take effect, you will be deemed to have accepted them.

If you do not agree to updated Terms, you should stop using the Service and cancel your subscription (if any).
